The firm advises Capital Export on the secondary LBO of Seat Ventilation

The Seat Ventilation group has just completed a secondary LBO structured by Capital Export. Its shareholding was thus recomposed mainly around Capital Export, new majority shareholder, and Jean-Jacques Gaudiot, chairman of the group, with an extension to group employees. 

The purpose of this operation is to enable the Seat Ventilation group, a leading French equipment supplier of toxic gas and vapor extraction systems, to initiate a new phase of its expansion, with a strong objective of international development. 

The firm Ginestié Magellan Paley-Vincent advised Capital Export in this operation, with Yves Ardaillou, partner, Fabienne Kerebel, counsel, Christopher Minnich and Servane Elluin, lawyers, on all aspects corporate, Carine Duchemin, partner, on the tax aspects and Julie Ebran, lawyer, on the social law aspects. 

The sellers and the managers were respectively accompanied by Claris Avocats (Jean-Pascal Amoros, Bastien Deroch) and Mermoz Avocats (Thomas Hermetet and Nicolas Privat). The lenders were represented by Cards Avocats (Chucri Serhal and Carole Geara).
